You keep all rights in the content you upload. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your content solely as necessary to operate and provide the Service to you and to the members you've authorized, and to make technical modifications (such as format conversion or generating thumbnails) needed to display it.
You're responsible for the content you make available, including its legality, accuracy, and appropriateness. We may format content for display but we won't edit its substance.
Content you delete stops being displayed. Copies may remain in backups for up to 90 days. Some records — including executed agreements and records we're required to keep — are retained as described in our Privacy Policy.
Cherub lets members describe relationships — that a person invested in a company, advises it, or is part of its team. When a member states a relationship involving you, it may appear on the Service, and you'll be able to remove it. You must not state a relationship that doesn't exist.
Some information you record is private to you. Where the Service marks information as visible only to you — for example the amount and date of an investment you log — we display it only to you.
A data room belongs to a specific fundraise. Documents you add are attached to that fundraise, not to your company generally, and are archived with it when the fundraise closes.
You control access. You decide which documents require your approval, who you approve, and whether to revoke access. We provide the mechanism. We don't review, verify, or endorse the documents you upload, and we're not a party to any arrangement between you and the people you grant access to.
If you're granted access to another member's documents, you may use them only to evaluate the opportunity for which they were shared. You may not copy, redistribute, publish, or use them for any other purpose, including competitive research. Access may be revoked at any time.
We can't prevent someone who can see a document from capturing or keeping it. Access controls, expiry, and download settings reduce risk; they don't eliminate it. Don't put material in a data room if unauthorized disclosure would cause you harm you're not willing to accept.
You can create links that let people outside Cherub view a data room or a specific document. You're responsible for who receives a link you create and for what they do with it. Anyone holding the link may be able to view the material subject to the settings you chose, which may include requiring an email address, requiring a Cherub account, a password, or an expiry date.
People who access material through a link, whether or not they have a Cherub account, are shown and must accept terms governing their use of it.
Parts of the Service use artificial intelligence. Today this includes reading a pitch deck you upload in order to pre-fill a draft of your fundraise, and suggesting short summary text and categories from information you've provided. We may add, change, or remove AI features.
AI output is a draft you have to review. It may be incomplete, out of date, or wrong. Anything produced with the help of an AI feature becomes your content once you accept and publish it, and you're responsible for its accuracy, including any figures, claims about your business, or descriptions of your team.
We make no promise of any outcome from any AI, analytics, matching, ranking, recommendation, or introduction feature. These features are not investment, legal, tax, or other professional advice, are not a substitute for your own diligence, and don't mean we've evaluated, verified, or endorsed anything.
Note: We don't use your content to train third-party AI models.
The Service may make standard-form documents available to help a company grant equity to a creator as compensation for services.
Cherub is not a party to any agreement between a company and a creator. We don't provide legal, tax, securities, accounting, or valuation advice, and nothing in the documents or the Service is such advice. We don't represent that any form is appropriate for your situation, that any award is validly authorized or issued, or that any tax treatment applies. We don't track, remind you of, or advise on any tax election or filing deadline, including any election under Section 83(b) of the Internal Revenue Code. Each party should consult its own lawyer and tax adviser before signing.
Share percentages, valuations, and similar figures shown in the Service are illustrative only.
The standard forms cover private Delaware C-corporations only. If your situation is outside that, your own counsel can prepare the documents.
Consent to electronic records and signatures. By using these features you agree that agreements may be formed and signed electronically, that electronic signatures and records satisfy any requirement that a record be in writing or signed, and that you can access and keep records in the formats we provide.
